Material Legal Technologies is not a law firm and does not provide legal advice or legal services. Legal services made accessible through the Material Legal Technologies platform are provided solely and independently by Material Legal Professional Corporation ("Material Legal PC"), a licensed law corporation authorized to practise law in Ontario, Quebec, and such other jurisdictions as Material Legal PC may be authorized to practise in from time to time. Material Legal Technologies and Material Legal PC are separate legal entities operating pursuant to a services arrangement.

3. No Lawyer-Client Relationship
No lawyer-client relationship is created by your use of this website, submission of a contact form or inquiry, or any other communication with Material Tech through this website or by email. Material Tech is a technology company and cannot form a lawyer-client relationship with any person.
A lawyer-client relationship with Material Legal PC is established only upon execution of a written engagement letter signed by both the client and the responsible lawyer at Material Legal PC. Until a formal engagement has been confirmed in writing, Material Legal PC reserves the right to decline any engagement or to act for parties with interests adverse to yours.
Unsolicited information sent through this website will not be treated as confidential and does not create any duty of confidentiality. Please do not submit sensitive or confidential information until a formal engagement with Material Legal PC has been established and you have received express written authorization to do so.
4. Relationship Between Material Legal Technologies Inc. and Material Legal Professional Corporation
Material Tech operates a technology platform that facilitates the delivery of legal services by Material Legal PC. Material Tech provides AI-enabled technology infrastructure, document assembly technology, workflow automation, and related platform services. All legal services — including, for greater certainty, legal advice, document review, compliance analysis, and finalized legal deliverables — are provided solely by legal professionals licensed and authorized to practise at Material Legal PC.
Material Tech does not supervise, direct, or control the professional judgment of any legal professional at Material Legal PC. Each legal professional at Material Legal PC exercises independent professional judgment and is fully and solely responsible for the quality, accuracy, and compliance of the legal advice and work product they provide. Material Tech does not share in legal fees earned by Material Legal PC.
The relationship between clients and Material Legal PC is governed by the applicable engagement letter and the rules of professional conduct of the relevant law society or regulatory body.
5. Platform and AI Disclosure
Material Tech's platform uses artificial intelligence, machine learning, and proprietary document assembly technology to assist in the preparation of draft legal documents.
AI-generated and platform-generated output is used as a drafting aid only. No such output is delivered to a client as a final legal work product without prior review, revision, and approval by a licensed legal professional at Material Legal PC. Material Tech makes no representations as to the legal sufficiency of any draft or preliminary output generated by the platform prior to such review.
The use of AI and automated tools in connection with the delivery of legal services is disclosed to clients as part of the engagement process with Material Legal PC.
6. Confidentiality
Legal professionals at Material Legal PC owe duties of confidentiality to their clients under the applicable rules of professional conduct, including those of the Law Society of Ontario and the Barreau du Québec, as well as the rules of any other law society or regulatory body in jurisdictions where Material Legal PC is authorized to practise.
Material Tech, as a technology services provider, is not subject to those professional duties but implements appropriate technical and organizational measures to protect client information processed through the platform.
Communications transmitted through this website prior to the establishment of a formal engagement with Material Legal PC are not protected by solicitor-client privilege and may not be treated as confidential. Communications transmitted over the internet may not be secure.
7. Scope of Services
Legal services available through the Material Tech platform, as provided by Material Legal PC, are currently focused on public company disclosure documentation and capital markets transactions.
The availability, scope, and methodology of services may evolve over time as Material Legal PC expands its authorized jurisdictions and areas of practice. Material Tech reserves the right to modify, suspend, or discontinue any platform feature or service at any time.
8. Fees and Engagement
Fees for legal services provided by Material Legal PC are set out in the applicable engagement letter or agreement between the client and the responsible legal professional at Material Legal PC. Nothing on this website constitutes an offer of legal services at any particular fee or on any particular terms.
Platform access and technology services provided by Material Tech may be offered at no charge or at the applicable fee described in the relevant agreement. Fee arrangements for pilot engagements are governed exclusively by the written pilot agreement executed by the parties.
9. Intellectual Property
All content on this website, including text, design, graphics, and other materials, is the property of Material Tech Inc. or its licensors and is protected by applicable copyright, trademark, and intellectual property laws. Unauthorized reproduction or distribution of any content is prohibited without the prior written consent of Material Tech.

Material Tech's platform — including its software, workflows, document templates, compliance logic, and related technology — constitutes proprietary intellectual property of Material Tech. Clients and users receive only a limited, non-exclusive right to access and use the platform as described in their applicable agreement.
10. Data and Privacy
Material Tech collects and processes personal and user data in accordance with its Privacy Policy and applicable privacy legislation, including the Personal Information Protection and Electronic Documents Act (PIPEDA), the Act respecting the protection of personal information in the private sector (Quebec Law 25), and other applicable federal and provincial privacy laws. By using this website, you consent to the collection and use of your information as described in our Privacy Policy.
Client matter data, documents, and related information processed through the platform are:
- Not shared with or accessible to other clients;
- Not used to train or improve third-party AI or machine learning models without appropriate anonymization and, where required, client consent;
- Retained and deleted in accordance with Material Tech's data retention policies, Material Legal PC's professional document retention obligations, and applicable law.
11. No Warranties; Limitation of Liability
The content on this website is provided "as is" without warranty of any kind, express or implied. Material Tech makes no representations or warranties as to the accuracy, completeness, currency, or fitness for purpose of any information on this website.
Material Tech shall not be liable for any loss or damage of any kind — including indirect, consequential, special, or punitive losses — arising from your use of, or reliance on, any content on this website. Material Tech is not responsible for the quality, accuracy, timeliness, or completeness of legal services provided by Material Legal PC.
The limitation of liability applicable to any engagement for legal services is governed exclusively by the written engagement letter between the client and Material Legal PC.

Material Legal PC's legal professionals are members in good standing of their respective governing bodies. As Material Legal PC's practice expands to additional jurisdictions, its legal professionals will be subject to the applicable rules of professional conduct in those jurisdictions.

15. Governing Law
These Terms of Use are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any disputes arising from the use of this website shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario. To the extent that any services are provided to clients in Quebec, the mandatory provisions of Quebec law, including the Consumer Protection Act, shall apply to residents of Quebec to the extent required by law.
