1. Applicable Law
Material Tech collects and processes personal information in accordance with applicable Canadian federal and provincial privacy legislation, including:
- the Personal Information Protection and Electronic Documents Act (PIPEDA);
- the Act respecting the protection of personal information in the private sector (Quebec Law 25 / Bill 64), including its requirements relating to privacy impact assessments, breach notification, data minimization, and the right to data portability and de-indexing; and
- other applicable federal and provincial privacy laws as they apply to our operations.
To the extent that we collect or process personal information of individuals located in Quebec, the requirements of Quebec Law 25 apply in addition to PIPEDA, and in the event of a conflict, the more protective standard will apply.

3. Information We Collect
We collect personal information in the following categories:
(a) Information you provide to us directly, including:
- Name, email address, phone number, and other contact details submitted through inquiry or contact forms;
- Account registration information, including name, email address, and password;
- Information provided in connection with a pilot or engagement agreement, including company name, role, and billing details;
- Communications you send to us by email or through the website.
(b) Information collected automatically when you use our website, including:
- IP address, browser type, operating system, and device identifiers;
- Pages visited, time spent on pages, referring URLs, and clickstream data;
- Cookie and similar tracking technology data (see Section 9).
(c) Client and matter information processed through the platform, including:
- Documents, data, and instructions uploaded or submitted by clients or their authorized representatives in connection with the use of the platform;
- Output and draft materials generated by the platform in connection with a client engagement;
- Director and officer information collected through the platform's D&O questionnaire tools.
We collect only the personal information that is necessary for the purposes identified in this Privacy Policy. We do not knowingly collect personal information from individuals under the age of 18.
4. How We Use Personal Information
We use personal information for the following purposes:
- To operate, maintain, and improve our website and platform;
- To facilitate the delivery of legal services by Material Legal PC to clients;
- To communicate with you regarding your account, inquiries, or engagements;
- To process payments and administer billing in connection with pilot or subscription agreements;
- To conduct privacy impact assessments, security monitoring, and internal compliance activities;
- To train, test, validate, and improve our platform, document assembly tools, and AI-assisted workflows, using appropriately anonymized or de-identified data where required;
- To comply with applicable legal and regulatory obligations, including responding to lawful requests from government authorities;
- To enforce our Terms of Use and other agreements.
We will not use personal information for any purpose that is not identified at the time of collection or that is incompatible with the original purpose, without first obtaining your consent or as otherwise permitted by law.
5. Consent
We rely on your consent as the primary basis for collecting and using personal information, except where the collection or use is required or permitted by law without consent. By providing personal information to us or using our website or platform, you consent to the collection, use, and disclosure of that information in accordance with this Privacy Policy.
Where we rely on consent, you may withdraw it at any time by contacting our Privacy Officer at the address set out in Section 2. Withdrawal of consent may affect our ability to provide certain services. We will advise you of the consequences before you withdraw.
In some cases, we may collect or use personal information without consent where permitted under PIPEDA or Quebec Law 25, including for the investigation of a breach of an agreement, for the collection of a debt, or as required by law.
6. Disclosure of Personal Information
We do not sell personal information. We may disclose personal information in the following circumstances:
(a) To Material Legal PC, to the extent necessary to facilitate the delivery of legal services to clients. Material Legal PC handles client information in its capacity as a law corporation and is subject to its own professional confidentiality obligations.
(b) To service providers and subprocessors engaged by Material Tech to support the operation of the platform, including cloud hosting providers, infrastructure providers, and AI technology providers. These third parties are contractually required to protect personal information and to use it only for the purposes for which it was disclosed.
(c) To comply with applicable law, regulation, or lawful government request, including court orders and regulatory requirements.
(d) In connection with a merger, acquisition, reorganization, or sale of all or substantially all of the assets of Material Tech, provided that the recipient is bound by equivalent privacy obligations.
(e) With your consent, for any other purpose disclosed at the time of collection.
We do not disclose client matter data to other clients. We do not disclose personal information to foundational AI model providers (such as OpenAI or Anthropic) for the purpose of training their models.
7. AI and Automated Processing
Material Tech uses AI and machine learning technology in the operation of its platform. Personal information and client matter data processed through the platform may be used to develop, test, and improve our proprietary AI models and document assembly tools, subject to appropriate anonymization and de-identification measures.
No personal information is used to train third-party foundational AI models without appropriate anonymization and, where required, your consent.
AI-generated output produced through the platform is reviewed by a licensed legal professional at Material Legal PC before delivery to a client. No automated decision-making with significant legal effects is made solely on the basis of AI-generated output without human review.
Where required by Quebec Law 25, we will notify individuals and obtain consent before using personal information for profiling or automated decision-making purposes that produce legal or significant effects.
8. Retention and Deletion
We retain personal information only for as long as necessary to fulfil the purposes for which it was collected, or as required by applicable law or professional obligations.
Client matter information processed through the platform may be retained for the duration of the applicable engagement and for such additional period as is required by Material Legal PC's professional document retention obligations, which may be up to ten (10) years or as otherwise required by law.
Account and contact information is retained for as long as your account remains active and for a reasonable period thereafter to allow us to respond to any follow-up inquiries or to comply with legal obligations.
Upon request, we will delete or anonymize personal information that we are no longer required to retain, subject to any overriding legal or professional obligations. Requests for deletion may be submitted to our Privacy Officer at the address set out in Section 2.
9. Cookies and Tracking Technologies
Our website uses cookies and similar tracking technologies to operate the website, analyze usage, and improve the user experience. The types of cookies we use include:
- Essential cookies: necessary for the website to function and cannot be disabled;
- Analytics cookies: used to understand how visitors interact with the website, including pages visited and time spent. We use anonymized or aggregated data for this purpose;
- Preference cookies: used to remember your settings and preferences.
You may disable cookies through your browser settings, but doing so may affect the functionality of certain parts of the website. We do not use cookies for targeted advertising.
We will obtain your consent before placing any non-essential cookies on your device, in accordance with applicable law including Quebec Law 25.
10. Security
Material Tech implements appropriate technical and organizational measures to protect personal information against unauthorized access, disclosure, alteration, or destruction. These measures include encryption of data in transit and at rest, access controls, and regular security assessments.
No method of transmission over the internet or electronic storage is completely secure. While we take reasonable steps to protect your personal information, we cannot guarantee absolute security. In the event of a privacy breach that poses a real risk of significant harm, we will notify affected individuals and the applicable regulatory authority as required by PIPEDA and Quebec Law 25.
11. Cross-Border Transfers
Personal information collected by Material Tech may be processed or stored in jurisdictions outside of Canada, including in the United States, where our technology service providers and infrastructure providers may be located. Where personal information is transferred outside of Canada, we take steps to ensure that appropriate contractual protections are in place and that the information receives a comparable level of protection to that required under Canadian privacy law.
By using our website or platform, you acknowledge that your personal information may be transferred to and processed in jurisdictions outside of Canada. We will notify you of any cross-border transfers of personal information as required by applicable law.
12. Your Rights
Subject to applicable law and any overriding legal or professional obligations, you have the right to:
- Access the personal information we hold about you;
- Request correction of inaccurate or incomplete personal information;
- Withdraw consent to the collection, use, or disclosure of your personal information (subject to legal or contractual restrictions and reasonable notice);
- Request deletion or anonymization of personal information that we are no longer required to retain;
- Receive personal information you have provided to us in a structured, commonly used format (data portability), to the extent required by Quebec Law 25;
- File a complaint with the applicable privacy regulatory authority.
To exercise any of these rights, please contact our Privacy Officer at the address set out in Section 2. We will respond to requests within the timeframe required by applicable law (generally 30 days, with the possibility of a one-time extension).
If you are located in Quebec and are not satisfied with our response, you may file a complaint with the Commission d'accès à l'information (CAI). If you are located elsewhere in Canada, you may file a complaint with the Office of the Privacy Commissioner of Canada (OPC).
13. Children's Privacy
Our website and platform are not directed at individuals under the age of 18. We do not knowingly collect personal information from minors. If we become aware that we have inadvertently collected personal information from a minor, we will take steps to delete it promptly.
14. Changes to This Privacy Policy
We may update this Privacy Policy from time to time to reflect changes in our practices, technology, legal requirements, or other factors. The current version will be posted on our website with the date of last update. Where changes are material, we will provide notice by email or through the platform prior to the changes taking effect. Your continued use of our website or platform following notice of any update constitutes acceptance of the revised Privacy Policy.
